DarrowEverett assisted the client in the structuring of the transaction, and in negotiating and drafting the requisite transactional documents and regulatory filings in connection with the joint venture. Both of the funds involved in the transaction were capitalized through Regulation D private offerings. Our client was able to complete a $1.5M equity “takeout” from the asset as a result of the investment by the newly-formed private real estate investment fund. The asset consisted of a portfolio of medical office buildings totaling in excess of 134,000 square feet.

Assisted a private real estate investment fund client in connection with the offering of preferred equity interests in an entity formed by the fund to acquire, own, operate and dispose of a real estate asset which was part of a larger, national portfolio of assets owned and operated by the fund. DarrowEverett assisted the client in the structuring of the transaction, and in the drafting of the offering documents and regulatory filings for a newly-formed private real estate investment fund created to acquire the preferred equity interests in the entity that owns the asset. Both of the funds involved in the transaction were capitalized through Regulation D private offerings. Our client was able to secure in excess of $2M through the preferred equity offering, allowing it to adequately recapitalize its investment in the asset. The asset was a multi-tenant industrial property consisting of approximately 226,000 square feet of leasable space.
