Senior Litigation Attorney

General Summary

As a result of continuous growth, DarrowEverett LLP is looking for an experienced, Senior Partner-level, complex Litigation Attorney with immediate availability in one of the following markets: Boston, Mass.; Charleston, S.C.; Charlotte, N.C., Nashville, Tenn.; or Providence, R.I.

Ideal candidate(s) will have a portable book of business with at least $200,000 in collections that they are looking to grow, have a strong acumen for leadership and a desire to be an integral part of a growing office. The candidate must have excellent communication and administrative skills, be highly organized and detail-oriented, be able to multitask without sacrificing efficiency, be responsible, and be able to represent the firm, always, in ways that enhance its reputation.

Qualified candidates must be prepared to handle cases from inception through trial, including drafting discovery pleadings and motions, and taking and defending depositions. Strong record of academic achievement, proven writing skills and a talent for advocacy in the courtroom are minimum requirements. Role & Responsibilities

  • Minimum 8+ years of litigation experience in state and federal courts.
  • Able to participate in all aspects of the firm’s professional activities, including client intake, trial preparation, etc.
  • First or second chair trial experience preferable.
  • Ability to handle litigation matters from inception through trial with minimal supervision.
  • Experience with drafting complex pleadings and motions and arguing discovery and dispositive motions. Formulate and develop case strategy, advise clients on risk mitigation and pre-suit resolution options.
  • Conducts research, interviews clients, and witnesses and handles other details for comprehensive case management.
  • Manage the discovery process and supervise junior attorneys and staff members with document review projects.
  • Mediation and AAA and other arbitration experience is preferable.
  • Perform complex legal research; experience with Westlaw and other legal research tools is required.

Commercial Real Estate Senior Attorney

The candidate can be based in Nashville, Tenn.; Providence, R.I.; Miami, Fla.; or Charlotte, N.C. Role & Responsibilities:

  • 8+ years of continuous, specific, and verifiable experience in a large law firm.
  • Negotiate and draft a variety of leases, from both a Landlord’s and Tenant’s perspective: retail, office, ground leases, mixed-use developments, licenses, etc.
  • Negotiate and draft property acquisition and sale documents for commercial real estate transactions: letters of intent, purchase and sales agreements, deeds, authority documents, and the like.
  • Negotiate and draft easements, CCRs, restrictive covenants and other similar-type documents encumbering title.
  • Draft condominium documents.
  • Coordinate and direct the review, management and preparation of commercial leasing and acquisition/sale documentation.
  • Review Purchase and Sale Agreements, due diligence, monitor contingencies, review, and prepare title objections, survey and environmental reviews, closing documents and wire transfers.
  • Conduct closings, including review and advise clients on settlement statements, and complete post-closing documentation and administration.
  • Draft and review complex operating agreements and bylaws, shareholders’ agreements, master service and service level agreements, private placement memorandums, indemnity agreements, and other client contracts.
  • Draft correspondence on behalf of landlords to commercial tenants’ management and counsel relating to claims, defenses, and other disputes arising under lease agreements.
  • Effectively organize and maintain client files.
  • Organize and lead a team of attorneys coordinating the development of transaction documents, diligence and closing for portfolio transactions involving properties in multiple jurisdictions.
  • Monitor and calendar deadlines.
  • Experience negotiating, documenting and closing financing transactions a plus.

Commercial Real Estate Associate

General Summary

DarrowEverett LLP is looking for a Commercial Real Estate Associate with immediate availability to work out of our New York office. The candidate must have excellent communication and administrative skills, be highly organized and detail-oriented, be able to multitask without sacrificing efficiency, be responsible, and be able to represent the firm, always, in ways that enhance its reputation. The salary range for the position is $70,000-$150,000.

Role & Responsibilities:

  • 2-5 years of continuous, specific, and verifiable real estate experience in a large (50+) attorney law firm
  • Strong drafting skills are essential. In-depth experience drafting a variety of leases, from both a landlord’s and tenant’s perspective, as well as property acquisition and sale documents, and ancillary agreements, is required.
  • Conduct due diligence reviews, including title, survey, zoning, environmental, lease reviews, etc.
  • Prepare closing documents, including estoppels, deeds, SNDAs, FIRPTA certificates, bringdown certificates and the like.
  • Review commercial real estate documents and provide feedback.
  • Draft easements, ECCRs, restrictive covenants and other similar-type documents encumbering title.
  • Analyse and monitor deadlines, including the preparation of critical dates schedules, and strictly monitor and calendar all relevant deadlines.
  • Monitor contingencies, review, and prepare title objections, survey and environmental reviews, closing documents and wire transfers.
  • Review title policies and ALTA surveys for conformance.
  • Conduct closings, including review and advise clients on settlement statements, and complete post-closing documentation and administration.

Trust & Estate/Real Estate Paralegal

Duties/Responsibilities:

  • Providing legal support and guidance associated with personal trust and estate administration.
  • Overseeing the contract process, including planning, collaboration, negotiation, and execution.
  • Fiduciary investment management activities, and general fiduciary law.
  • Research and assist with matters involving trusts, estates, guardianships, custodians, fiduciary investment management activities, powers of attorney, and legal processes.
  • Responsible for reviewing/updating related matrices, as well as other tasks as needed, including research of statutes and regulations; support tax matters and tax strategies.
  • Providing closing, title, survey and other support as needed in connection with real estate and finance transactions.
  • Work independently and demonstrate flexibility to handle a wide variety of tasks.
  • Develops and maintains records regarding billable hours spent on specific cases.
  • Working with other members of the legal team on special projects and initiatives.
  • Performs other related duties as assigned.

Qualifications:

  • 4-7 years of paralegal experience required.
  • Associate degree in Paralegal Studies or related field required; bachelor’s degree in Paralegal Studies or related field preferred; Paralegal certificate preferred.
