Emmanuelle S. Litvinov is a Senior Associate in DarrowEverett’s Corporate and Business Transactions, Private Equity, Capital Markets, and Securities, and Labor and Employment Practice Groups. She focuses on mergers and acquisitions, corporate formation and restructuring, private equity due diligence, commercial real estate transactions, complex commercial contracts, and employment and labor law compliance in both California and Florida.

- Provided comprehensive legal support to a renowned Inc. 500-listed clothing company, focusing on corporate structuring, drafting essential organizational documents, and offering strategic guidance for day-to-day corporate operations.
- Represented an operating and management company that acquired a 50-percent membership interest in a surgical supply and medical device company. Our work included negotiating the terms of the acquisition to ensure alignment with our client’s strategic goals and financial interests, drafting the transaction documents, analyzing regulatory compliance and licensing issues, and reviewing and approving the restructured promissory note.
- Facilitated the legal framework for an innovative online platform offering comprehensive dental training and resources, drafting key corporate documents, and providing strategic legal guidance to enhance the company’s organizational structure and digital presence.
Prior Experience
Before joining DarrowEverett, Emmanuelle spent more than six years at a South Florida boutique firm. Accumulating a wealth of experience and expertise serving a diverse spectrum of clients, from promising startups to Alexa’s Top 100 ranked technology companies. Her clients included accredited high-net-worth investors, private equity groups, privately held entities, and syndicated funds, for whom she assisted with their various business and general legal needs.
Emmanuelle began her legal career in Los Angeles, serving as outside counsel for a variety of production companies and other participants in the entertainment industry. Her diverse experience across industries makes her a versatile and well-rounded legal professional.
