Overview

Kevin Constantine is an Associate in DarrowEverett’s Corporate and Business Transactions Practice Group. Kevin represents companies and private equity firms in corporate and transactional matters, including mergers and acquisitions, venture capital financing rounds, and fund formation Additionally, Kevin advises clients across a broad range of corporate and investment transactions.

Advising on deals and transactions of all sizes, Kevin manages deal flow with teams that include both legal and business specialists across both the B2B and B2C spaces.

Representative Matters

  • Advised private equity client on sale of its portfolio company and subsequent rollover merger valued at over $2 billion in 2022, which included both buy- and sell-side legal due diligence, drafting and reviewing a wide spread of deal documents, and counseling the client through a highly negotiated rollover agreement.

  • Assisted a leading fintech startup in securing $50 million in growth equity funding in 2023, which included negotiating the deal documents, revising the company’s corporate charter, and drafting a subsequent equity vesting plan.

  • Advised corporate client on the acquisition of SaaS company in a transaction valued at over nine figures, which involved thorough buy-side legal due diligence, as well as the extensive negotiation of thoroughly protective representation and warranty terms.

  • Assisted a leading financial lender in the restructuring of an eight-figure million loan facility, which involved drafting and negotiating key credit agreement documents and related ancillaries.

  • Represented a telecommunications company in a nine-figure asset swap transaction, which involved significant research into federal, state, and foreign regulatory requirements, as well as drafting and negotiating a complex purchase agreement and related ancillary agreements.

Prior Experience

Before joining the DarrowEverett team, Kevin served as an Associate for an AmLaw 200 firm concentrating on private equity transactions that included mergers and acquisitions, growth equity financing, corporate restructuring, fund formation, and portfolio management.
