Overview

Matthew E. Pecoy is a Partner in DarrowEverett’s Corporate and Business Transactions Practice Group, focusing primarily on middle-market mergers and acquisitions, private equity, venture capital, and general corporate matters. Through his practice, Matt represents a broad spectrum of clients, ranging from accredited investors to growth-stage companies and from start-ups to medium-sized, privately-held businesses. His counsel includes corporate formation and structuring, capital raises and private placements, employment and securities law issues, and complex commercial contract negotiation. Matt also serves as outside general counsel to several companies across multiple industries and has litigated a wide variety of commercial disputes before federal and state courts as well as the South Carolina Supreme Court.

Representative Matters

  • Served as lead sell-side counsel to a land clearing and site development company and its vertically integrated affiliated entities in the sale of their businesses to a private equity-backed critical infrastructure and utility service provider.
  • Served as lead buy-side counsel to a leading MarTech agency executing a roll-up strategy to acquire competitors and market adjacent participants in pursuit of a private equity exit.
  • Served as lead buy-side counsel for an investment management firm in its acquisition of a Bermudian investment management company in the captive insurance advisory sector.
  • Served as lead buy-side counsel for a regional home services company in the execution of a roll-up strategy to acquire competitors and ancillary service providers in pursuit of a private equity exit.
  • Served as lead buy-side counsel to the minority owners of a MarTech agency in a forced buyout of its majority member, debt restructuring and corporate reorganization.

Prior Experience

Before joining the DarrowEverett team, Matt was a partner in a Charleston, South Carolina-based firm. In this role, Matt counseled his clients from formation and capital raising to liquidity events, represented both buyers and sellers in a variety of mergers and acquisitions, and litigated trade secret, noncompete, and other business disputes. While attending the University of South Carolina School of Law, Matt was the Articles Editor for the Southeastern Environmental Law Journal.
