Rhett Butler is a Senior Associate in DarrowEverett’s Corporate and Business Transactions Practice Group with a specialty in taxation. Rhett represents companies and private equity firms in corporate and transactional matters, including mergers and acquisitions, venture capital financing rounds, and stock acquisitions. Additionally, Rhett advises finance companies, family offices, and private equity groups across a broad range of financing transactions and equity investments, including corporate transactions in the health science, products manufacturing, automotive, and oil and gas industries. These transactions include leveraged buyouts, control and non-control investments, stock acquisitions, asset-based credit facilities, and syndicated financing.
Serving domestic and cross-border clients on their entire M&A lifecycle from strategy through execution and integration, Rhett helps manage deal flow with teams that include specialists in business consulting, business intelligence, buy-side, finance, human capital, risk management, sell-side, tax, valuation, and industry.
Represented private equity client on numerous buy-side transactions in the veterinarian space totaling over $69 million.
Represented client in sell-side acquisition of a cosmetic products’ raw ingredient manufacturer for $200 million. Process included drafting confidential information memorandum (CIM), advising through the bid process with an investment bank and 124 letter of intent, drafting stock purchase agreement, and completing pre-close F-type reorganization of 23 companies into the holding corporation structure.
Advised client on $20 million investment into ultra cold storage manufacturing in an opportunity zone including tax implications.
Represented client on sell-side acquisition of two global automotive racing parts manufacturers for $68 million.
Created fifth fund for private equity client to raise $25 million for investment into the health sciences/life sciences sector. Drafted confidential investment memorandum, private placement memorandum, and investor agreement for client.
Before joining the DarrowEverett team, Rhett served as a Senior Associate for a national AmLaw 50 firm concentrating on mergers and acquisitions in the health sciences industry, along with venture capital financing, and early/growth-stage startups. In addition, Rhett previously worked in Beijing, China, at China’s largest law firm, concentrating in cross-border M&A.
