Overview

Samuel C. Blink is a Partner in DarrowEverett’s Business Litigation and Dispute Resolution and Corporate and Business Transactions Practice Groups. Sam defends businesses and their owners, directors and officers in governmental investigations and related enforcement actions. He preserves his clients’ reputations and resources while representing them through all stages of disputes, from pre-litigation investigations through trial and appeal. Sam focuses this part of his practice on environmental, consumer protection and securities investigations. Sam also routinely guides companies in various corporate and commercial transactions, focusing on mergers and acquisitions, asset sales, capital raises and corporate governance matters. He represents businesses in connection with complex contract negotiations, including SaaS agreements, complex commercial real estate agreements, licensing agreements, distribution agreements, independent contractor and employment agreements, and technology agreements.

Representative Matters

  • Represent a travel industry client from a startup in a single location to expanding to 4 locations across three states. The sales of this client has grown from thousands of dollars a month to over $20 million in annual revenue in a single year. Our representation covers all aspects of the business from labor and employment law, regulatory and compliance matters, commercial real estate, private equity structuring, corporate governance matters, consumer contracts and litigation.

  • Successfully defended a company in a Tennessee Department of Environment and Conservation appeal that was alleged to have released contaminants on its property and failed to have followed the departments records and reporting protocols.

  • Represent a general contracting company who has developed multiple large residential developments in both multi-family housing and single family housing spaces. Our representation has included extensive due diligence analysis, title and survey reviewing, rezoning applications, environmental and regulatory compliance, lending and finance, corporate governance matters, and litigation.

  • Successfully settled at mediation for over $500,000 against a building contractor who was unlicensed to perform the work.

  • Represented client, a minority owner in a cannabis company, that offered to buy out another member of the company. After the buyout was refused, our client was sued. We settled the case where our client bought out the other owners for approximately $600,000 less than he originally offered prior to the litigation.

Prior Experience

Prior to joining Darrow Everett, Sam was a partner for a highly regarded boutique law firm in the Nashville area, where he was a member of their corporate and business transactions and commercial real estate practice groups. Sam also has experience working in the litigation department of one of the largest health insurance companies in the United States and working for the Indiana Supreme Court.
