Assisted national developer in negotiating and closing on the sale of a renewable energy project of nearly 7 MW in Upstate York. Our work included working with the client’s lender to simultaneously pay off the promissory note used to construct the project. We also assisted with the recording of documents and the leasing and option agreements for the property.

Represented Massachusetts-based developer in negotiating and closing the sale of a 4 MW project. This representation included negotiating reimbursement of development costs at execution of the membership interest purchase agreement and closing the sale of a partnership-taxed project company that owned the project.

Represented a Louisiana-based developer in the sale of a portfolio of Illinois renewable energy projects participating in the Illinois Adjustable Block Program. As part of our representation, the firm drafted and negotiated the membership interest purchase agreement, securities agreements, pledge agreements and payment direction letters.

Assisted New England-based solar developer in closing on the sale of a 5 MW renewable energy system to be installed in Cape Cod. In addition to negotiating and closing the sale of the project, the firm cured a variety of title defects, including obtaining tax lien waivers and conveying the landlord’s fee interest in the land out of dissolved entities.

Negotiated and closed the sale of a to-be-constructed 145 megawatt solar photovoltaic system in Upstate New York, which included a reimbursement of pre-construction development costs and other definitive Membership Interest Purchase Agreement terms.

On behalf of a New England renewable energy developer, we negotiated and drafted documents for and closed the purchase of a 10MW solar project in Rhode Island. Our work included reviewing, drafting and negotiating site control documents, as well as performing and we performed title and lien search due diligence.

Negotiated and closed a substantial tax equity investment on behalf of a New England-based renewable energy developer. We drafted corporate investment documents and amendments to loan documents, performed lien searches and assisted with title. Our work included negotiating the conversion of construction debt to permanent debt.
