Represented a long time, national real estate investment company in the sale of a New Jersey commercial property. The property is leased to a long-term national pharmacy chain.

The Real Estate Team represented a New England commercial and residential developer in selling the final residential unit in a multi-unit condominium development in Rhode Island.  DarrowEverett guided the client through drafting and adopting the condominium documents, phasing additional buildings and units, and selling all the residential units.

Represented a client in the multi-million-dollar sale and leaseback of property in North Carolina. Julie Bradlow, leader of DarrowEverett’s tax practice, assisted the client and the team in structuring the transaction for the client’s benefit. The lease negotiations involved a fifteen-year term for use as a nationally franchised early childhood school.

The DE Commercial Real Estate Team represented a national real estate investment company in purchasing a multi-million-dollar office building in Miami, Florida. The acquisition involved multiple joint venture partners.  DarrowEverett advised the parties on various aspects of the joint venture, the corporate structure, and select elements of the thirty-five-million-dollar financing.

The attorneys in the DarrowEverett LLP’s Commercial Real Estate Practice Group continued their work with a large, national real estate investment company to acquire several CVS locations in Texas and Alabama. Each of these acquisitions was a cash purchase. Our real estate team guided the client through its due diligence, including a thorough review of complex title matters, survey issues, evaluations of the zoning and environmental matters of the property, and a comprehensive lease review.

The spring of 2022 saw the sale of numerous residential condominium units for a regional real estate developer. The project, which commenced in the fall of 2021, consisted of over twenty units, and with the recent closings, more than eighty percent of the units have sold. The remaining units are under an agreement to be sold before the end of the summer of 2022.

DarrowEverett LLP’s Commercial Real Estate Practice Group represented a client in connection with the acquisition of various parcels from various sellers, collectively constituting a regional mall and shopping center containing more than 100 tenants. The legal work involved, among many other matters, analysis of complicated title issues and lease provisions that impacted the client’s vision for the center’s rejuvenation.

DE’s real estate team continued to represent a national real estate investment company selling individual properties throughout the Northeast. The properties had previously been acquired as a portfolio of properties for over twenty-five million dollars and were operated by a well-known New England restaurant chain. At the time of the acquisition, our client entered into a revised Master Lease with the Tenant that contemplated future individual property sales and was heavily negotiated by DE real estate team. Each subsequent sale of one or more properties involves a breakout lease and the traditional closing documentation.

Advised long-term investor clients in the 1031 exchange of property in a multi-tenant office building in Pennsylvania. The team negotiated the purchase and sale agreement, drafted pertinent closing documents, and provided guidance to the client as to compliance with Pennsylvania bulk transfer law and the obligations thereunder.

Represented one of DE’s national clients in the sale of a national fast-food chain located in Virginia. The property had been recently acquired, financed, and the client conducted the first part of a 1031 exchange with the sale of the property.

Served as counsel for our client in the acquisition of property in Arizona which is subject to a National Repair Company’s long-term lease.

Served as counsel for our client in the sale of a significant parcel of property exceeding seven million dollars which will be redeveloped by an automobile service business as part of a 1031 exchange for the seller.

Served as counsel for our client in the acquisition of property operated by a national gas chain in Central Massachusetts which was part of a 1031 exchange for the buyer.

Served as counsel for our client in the sale of real estate in Florida which is leased to a national pharmacy chain for over six million dollars which involved a defeasance component.

Served as counsel for our client in the acquisition of six properties in Florida and Iowa for over twenty-five million dollars which are leased to a national chain of an automobile service provider.

Advised a large, national real estate investment company on the acquisition of over twenty properties in the Virginia, Tennessee, Kentucky, and West Virginia areas. The properties were subject to long-term leases with several different national food chains and were valued at over thirty-eight million dollars. The national real estate investment company utilized this opportunity to refinance over fifteen existing restaurants in its portfolio for a total loan amount exceeding sixty-five million dollars.

Advised a client on the acquisition of numerous drugstores properties across the country, who then began identifying and acquiring single and multi-property portfolios around the country under the advisement of the DarrowEverett team, engaging in cash-based acquisitions of prime location properties.

Advised a long-standing client on the acquisition of two significant portfolios of real estate property currently leased to a national drug store chain.  Further assisted the same client in acquiring over thirty-five properties from the same national drugstore company, which were then immediately leased back to the Seller.

Advised a national client with real estate throughout the country related to the negotiation and sale of several properties, the sale of which was conducted to re-adjust the client’s real estate portfolio.

Advised a small business owner on the sale of their Massachusetts business and the accompanying real estate, structured as an asset sale involving the business assets, the real estate, as well as several leases.
